Section 10.1 Vote Required and Effect of Adoption.

These Bylaws shall be effective upon adoption by an affirmative two-thirds (2/3) roll-call vote of the total voting membership of the Board of Trustees. These Bylaws supersede and replace any Bylaws adopted by the Board of Trustees as constituted prior to July 1, 2018. These Bylaws also supersede and replace any rules or policies adopted by the Board of Trustees as it was constituted prior to July 1, 2018 to the extent such rules or policies are inconsistent with these Bylaws.

 

Section 10.2 Amendment or Repeal of Bylaws.

The Board of Trustees may change these Bylaws by amendment, by adoption of one or more new Bylaws, or by repeal of one or more existing Bylaws at any regular or special meeting by an affirmative two-thirds (2/3) roll-call vote of the total voting membership of the Board; provided that a copy of the amendments or new Bylaws to be offered or notation of the Bylaws to be repealed shall be furnished to each Board member in writing at least seven (7) days in advance of the meeting. Without the necessity of an amendment, the Secretary is authorized to make revisions to the Bylaws to: (i) correct grammatical, format, and other technical errors; (ii) update statutory and policy citations; (iii) eliminate any non-substantive inconsistencies; and (iv) conform to accessibility requirements, as may be necessary.
